Down to Play Membership Agreement & Payment Authorization

This Membership Agreement and Payment Authorization (this “Agreement”) governs the membership program (the “Membership Program”) offered by Down to Play LLC (“Down to Play”). I, the undersigned person, agree to the terms of this Agreement on behalf of myself, each child for whom I am purchasing a Membership and any other parent or legal guardian of each child for whom I am purchasing a Membership.

2. Membership Overview

A “Membership” refers to enrollment of one (1) child in the Membership Program. A Membership may only be purchased by a parent or legal guardian of a child. I agree that the terms of this Agreement will apply to me, each child for whom I am purchasing a Membership under this Agreement and each other parent or legal guardian of such child. Each Membership (a) is child-specific and cannot be transferred, shared, or used by any child other than the one for whom it is assigned, (b) has no cash value and is not redeemable for cash under any circumstances unless required by law, and (c) may not be offered for resale. Each Membership must be maintained individually. A parent or legal guardian may enroll multiple children using this Agreement, with charges and benefits applied per enrolled child.

I agree to purchase a Membership for each child listed below for a membership fee of $75.00 per month plus applicable taxes. I certify that I am a parent or legal guardian of each child listed below.
I acknowledge that I must have a completed and signed Assumption of Risk, Release and Waiver of Liability and Indemnity Agreement (“Liability Waiver”) on file for each enrolled child before that child will be eligible to access any membership benefits.

I confirm that a parent or guardian of each child listed has completed or will complete a signed Assumption of Risk, Release and Waiver of Liability and Indemnity Agreement (“Liability Waiver”) before that child may access membership benefits.

By signing below, I authorize Down to Play to charge my credit or debit card (“Payment Method”) for the membership fee plus applicable taxes per enrolled child on the first day of each month, beginning with the next billing cycle and further authorize Down to Play to store my Payment Method information for future use including pursuant to this payment authorization.

This charge will recur monthly until canceled. Payments may be processed on the next business day if the 1st falls on a weekend or holiday. I am responsible for keeping my payment information current. I acknowledge that Down to Play may obtain updated information regarding any Payment Method I provide from my financial institution and that any such updated payment information likewise will become the Payment Method for this payment authorization. If I have more than one (1) Payment Method on file, Down to Play may charge/debit any such Payment Method. I certify that I am the owner of or have authorization to use any Payment Method information I provide to Down to Play, and I am authorized, and have authority to authorize Down to Play, to make charges to and permit us to store the Payment Method information I provide.

Memberships renew automatically each month. I acknowledge that it is my responsibility to cancel any Membership per the instructions outlined below if they do not wish to continue.

5. Cancellation Policy

Memberships may be canceled at any time with at least five (5) days' written notice prior to the next billing cycle. Cancellations must be submitted via email to contact@downtoplay.com or in person. Each child's Membership will be canceled independently; canceling one child’s Membership does not automatically cancel any other Membership.
No refunds or proration will be issued for partial months, unused time, or missed benefits.

6. Failed Payments

If a payment fails, I understand access to membership benefits may be suspended until payment is resolved.

7. Additional Terms

This Agreement is separate from Down to Play’s required Liability Waiver and does not amend, modify, replace or supersede the Liability Waiver. I agree that I and any child that I bring to Down to Play’s facility will follow all posted rules and behavior expectations while on site.

Down to Play reserves the right to suspend or cancel a Membership, including any associated Memberships, without notice or refund, for any reason in Down to Play’s sole discretion, including, without limitation, repeated rule violations, unsafe behavior, failure to follow staff instructions, abusive, vulgar or offensive behavior by a child or his or her parent or guardian toward any Down to Play staff other guests while on the property, or Down to Play’s belief that continued use of such Membership would violate any terms of this Agreement or applicable law.

This Agreement, the Liability Waiver and all other documents referenced herein, represents the entire understanding between Down to Play and the undersigned and his or her children with respect to the Membership Program and supersedes any other agreements, statements or representations. Headings used in this Agreement are for reference only and shall not affect the meaning of any terms.

8. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes arising from this Agreement shall be handled in a court of competent jurisdiction in Dallas County, Texas.

9. Parent/Guardian Information

* Please use the same phone number associated with your signed Liability Waiver. If no waiver is on file, you must complete a waiver using the link provided by Down to Play in addition to submitting this Membership Agreement.
